These Terms of Service ("Terms") govern your access to and use of the websites, software, applications, APIs, AI systems, products, services, documentation, and related tools provided by Somi Labs Technologies, Inc. ("Somi Labs," "we," "us," or "our"), including Strata (collectively, the "Services").
Strata is a product and service operated by Somi Labs. References to Strata in these Terms refer to the Strata product and related Services provided by Somi Labs.
By accessing or using the Services, creating an account, downloading Strata, or accepting these Terms through another mechanism, including by using the Services under a free, trial, pilot, beta, preview, or evaluation program, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
Please also review our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.
If you have entered into a separate written agreement, order form, pilot agreement, trial agreement, or other signed terms with Somi Labs for the Services, that agreement controls to the extent it conflicts with these Terms.
1. The Services
Strata is an AI workspace for spreadsheet-heavy work, financial analysis, documents, workflows, and related business context. Subject to your compliance with these Terms, Somi Labs grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or personal purposes.
We may update, modify, suspend, or discontinue any part of the Services at any time. We may also release beta, preview, experimental, or early access features. Those features may be incomplete, unsupported, or changed without notice and are provided for evaluation at your own risk.
If we provide free, trial, pilot, beta, preview, or evaluation access, that access is provided only for the limited evaluation purpose and period we specify. We may end or modify that access at any time unless a separate written agreement says otherwise. Continued use after a trial or pilot may require a paid subscription or separate written agreement.
2. Accounts and Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher, to use the Services. You are responsible for providing accurate account information, keeping it up to date, maintaining the confidentiality of your credentials, and all activity under your account.
If your account is associated with an organization, that organization may control or manage certain aspects of your account, including access, billing, workspace settings, and authorized users. You are responsible for ensuring that anyone you authorize to use the Services complies with these Terms.
3. Customer Content and Local Files
You may provide prompts, instructions, files, documents, spreadsheets, code, images, data, feedback, or other materials to the Services and may receive outputs, edits, suggestions, summaries, analyses, or other generated results (together, "Customer Content").
As between you and Somi Labs, you retain your rights in Customer Content. You grant Somi Labs the limited rights necessary to provide, secure, maintain, and troubleshoot the Services in accordance with these Terms and our Privacy Policy. This license does not permit us to train models on your Customer Content, and it does not permit us to retain Customer Content except where you intentionally save, publish, export, share, submit feedback, or enable a feature that requires retention.
Strata is designed so your files remain on your computer unless you intentionally enable a feature, integration, or workflow that sends content elsewhere. We do not upload, retain, or store your local files on Somi Labs servers by default. Where a feature requires connecting to an external service, we will make that behavior clear or require your action to enable it.
We do not train models on your Customer Content. We also run zero data retention by default for customer inputs, files, and outputs processed by Somi Labs-controlled systems, except where you intentionally save, publish, export, share, submit feedback, or enable a feature that requires retention.
4. AI Outputs and Your Responsibilities
The Services may use artificial intelligence to generate outputs, suggestions, explanations, classifications, transformations, spreadsheet edits, document edits, code, or other content. AI-generated results may be inaccurate, incomplete, misleading, duplicative, or unsuitable for your intended use.
You are responsible for reviewing, validating, and deciding whether to use any output from the Services. You are also responsible for maintaining appropriate backups, controls, approvals, and review processes for your work, especially where outputs may affect financial reporting, legal obligations, investment decisions, operational decisions, or other high-impact use cases.
You represent that you have all rights, licenses, consents, and permissions necessary to provide Customer Content to the Services and to permit processing under these Terms.
5. Acceptable Use
You may not use the Services to:
- Violate applicable law, regulation, contract, or third-party rights.
- Upload, process, or share content you do not have the right to use.
- Infringe, misappropriate, or violate intellectual property, privacy, publicity, or confidentiality rights.
- Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying models of the Services.
- Probe, scan, bypass, or interfere with the security, integrity, rate limits, or operation of the Services.
- Use the Services to develop, train, or improve a competing AI model or service.
- Scrape, harvest, or extract data from the Services except as expressly permitted by us.
- Transmit malware, harmful code, spam, or deceptive, abusive, or fraudulent content.
- Use outputs as a sole basis for professional, legal, medical, financial, employment, housing, credit, or high-risk decisions without appropriate human review and safeguards.
- Submit protected health information, patient data, or other sensitive regulated data unless we have entered into a separate written agreement expressly permitting that processing.
6. Payments and Subscriptions
Some Services may require payment, a subscription, usage-based fees, add-ons, credits, or an order form. Fees, billing periods, renewal terms, limits, and included features will be shown in the Services, on an applicable pricing page, or in an order form.
By purchasing paid Services, you authorize us and our payment processors to charge your payment method for applicable fees and taxes. Unless otherwise stated or required by law, fees are non-refundable. Subscription Services may renew automatically unless canceled before the renewal date through the account or billing settings we make available.
We may change prices or payment terms on notice as required by law or as described in the Services. We may suspend or terminate access to paid Services if amounts are overdue.
7. Ownership
Somi Labs and its licensors own the Services, including software, interfaces, documentation, designs, systems, models, trademarks, logos, and all related intellectual property. Except for the limited rights expressly granted in these Terms, we reserve all rights in the Services.
If you provide feedback, suggestions, ideas, or recommendations, you grant Somi Labs a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation to you.
8. Third-Party Services
The Services may interoperate with third-party services, integrations, software, models, websites, storage providers, payment processors, or open-source software. If you enable an integration, model provider, storage provider, or other external service that receives Customer Content, that external service may process or retain Customer Content under its own terms and privacy policy unless we expressly state otherwise for that feature. Somi Labs is not responsible for third-party services and does not control their availability, security, or behavior.
9. Privacy and Security
Our Privacy Policy describes how we handle personal information. You are responsible for using the Services in a secure manner, maintaining backups of important files, and configuring any integrations or permissions appropriately.
Unless we agree otherwise in writing, support is provided on a commercially reasonable, best-efforts basis and does not create a service level agreement, uptime commitment, or other support obligation.
10. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services if you violate these Terms, create risk or potential legal exposure for us or others, fail to pay amounts owed, or if we are required to do so by law.
We may also modify, suspend, or discontinue the Services, in whole or in part. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and general terms.
11. Disclaimers
To the fullest extent permitted by law, the Services and all outputs, including any free, trial, pilot, beta, preview, or evaluation access, are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, non-infringement, accuracy, reliability, availability, or that the Services will be uninterrupted, secure, or error-free.
We do not warrant that any AI-generated output will be accurate, complete, compliant, appropriate, or suitable for your use case. You use the Services and outputs at your own risk.
12. Limitation of Liability
To the fullest extent permitted by law, Somi Labs and its affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, business opportunity, business interruption, cost of substitute services, or other intangible losses, arising out of or relating to the Services, outputs, or these Terms, including any free, trial, pilot, beta, preview, or evaluation use.
To the fullest extent permitted by law, our aggregate liability for all claims arising out of or relating to the Services, outputs, or these Terms will not exceed the greater of the amount you paid to Somi Labs for the Services in the six months before the event giving rise to the claim or $100. If you are using free, trial, pilot, beta, preview, or evaluation Services, our aggregate liability for claims arising from that access will not exceed $100.
13. Indemnity
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Somi Labs and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your Customer Content, your use or misuse of the Services, your violation of these Terms, or your violation of applicable law or third-party rights.
14. Dispute Resolution
Before filing a claim, you and Somi Labs agree to try to resolve the dispute informally. To start that process, email [email protected] with a description of the dispute and the relief requested. The parties will attempt in good faith to resolve the dispute for 30 days after receipt of the notice.
If informal resolution does not resolve the dispute, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, except that either party may bring qualifying claims in small claims court or seek injunctive relief for unauthorized use of intellectual property or security violations.
You and Somi Labs waive the right to a jury trial and agree that claims may be brought only on an individual basis, not as a plaintiff or class member in any class, consolidated, or representative proceeding. You may opt out of this arbitration agreement by emailing [email protected] within 30 days after you first accept these Terms and clearly stating that you opt out of arbitration.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles, and by the Federal Arbitration Act where applicable. Subject to the arbitration provisions above, the state and federal courts located in San Francisco County, California will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the updated Terms with a new "Last updated" date. If required by law, we will provide additional notice. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.
17. General Terms
Except where you have entered into a separate written agreement with Somi Labs, these Terms, together with any applicable order forms, supplemental terms, and policies referenced in them, are the entire agreement between you and Somi Labs regarding the Services. If you have entered into a separate written agreement with Somi Labs for the Services, that agreement controls to the extent of any conflict with these Terms. If any provision is found unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction. Our failure to enforce a provision is not a waiver.
